Overview:
Provide legal and contract support services to all parts of the TDW business organization within Eastern Hemisphere (Europe, Middle East, Africa, Asia, Australia & Oceania). Be an effective and trusted business partner to Eastern Hemisphere managers. Keep TDW Senior Legal Counsel, Eastern Hemisphere well informed.

Contract Review, Drafting and Advice (40%)

Provide legal and contract support services to all parts of the TDW business organization within Eastern Hemisphere (Europe, Middle East, Africa, Asia, Australia & Oceania). Responsibilities:
Contract Review, Drafting and Advice (40%)
- Assist with contract reviews, contract drafting and implementation of commercial best practices.
- Provide legal, contract, and commercial advice and services throughout Eastern Hemisphere.
- Provide assistance with (public) tender packages as requested by Eastern Hemisphere operating personnel.
- Help to manage outside counsel functions and fees in Eastern Hemisphere with the advice and consent of TDW Senior Legal Counsel, Eastern Hemisphere.
- Keep a careful eye on compliance issues throughout Eastern Hemisphere and address them with the support of the TDW Chief Compliance Officer, TDW Compliance Paralegal, other members of the TDW global legal team and/or outside counsel, as needed.
- Initiate, develop and implement legal and contract programs consistent with the parameters provided by the TDW Senior Legal Counsel, Eastern Hemisphere.
- Manage and minimize legal, contract, and other commercial risks to the business so as to facilitate the efficient and profitable performance of TDW operations throughout Eastern Hemisphere.
- Be a trusted business partner to Eastern Hemisphere managers.
- Assist with M&A due diligence on Eastern Hemisphere transactions.
- Establish and enforce confidentiality restrictions in the Eastern Hemisphere.
- Manage litigation and claims such that, where possible, they do not have a “material adverse effect” on the business.
- Keep the TDW Senior Counsel, Eastern Hemisphere, and the TDW General Counsel informed about the status and progress of litigation and claims.
- Understand and protect TDW’s intellectual property, patents, trademarks and branding.
- Advise on corporate governance matters.
- Train Eastern Hemisphere personnel on a variety of contract and compliance best practices.
- Degreed lawyer admitted to practice in at least one (common law) jurisdiction;
- 8 to 12 years of “hands on” legal, contract and commercial experience with a multinational company or major international law firm. Cross-border contracting experience is required.
- Experience in the energy and/or the oil field services industries is a plus. Legal and business experience in the APAC region or Middle East is a plus.
- Strong, broad based practical understanding of business contracts with expert drafting skills.
- Fluent in English. Other language is a plus.
- Good organizational skills and ability to manage different competing priorities.
- Strong interpersonal and communication skills at all levels within a multicultural environment.
- Personal presence and presentation skills that will inspire confidence in business partners.
- A commercial, solution-oriented mind coupled with a strong commitment to professional ethics.
