(Internal) Legal Counsel

• Contract and Subscription Document Review: Incumbent will review, counter-proposal, and negotiate contracts, including investment agreements, limited partner contracts, non-disclosure agreements, and other legal documents. Ensure arrangements are legally sound, protect the organization's interests, and comply with applicable laws and regulations.
• Corporate Governance: Ensuring compliance with corporate governance requirements and regulations. This includes maintaining corporate records, drafting and filing legal documents related to corporate filings, shareholder meetings, board meetings, and other corporate governance matters.
• Regulatory Compliance: Up-to-date with applicable laws, regulations, and industry standards that affect the Company's operations. Provide advice and guidance to ensure compliance with legal and regulatory requirements in data privacy, anti-corruption, intellectual property, employment laws, and other relevant areas where the firm invests.
• Investment and Mergers and Acquisitions (M&A) Support: Assist in due diligence, contract review, drafting transaction documents, and coordinating with external legal counsel. They may also be involved in post-merger integration activities and corporate restructuring.
• Legal Research and Analysis: Conduct legal research on various issues related to corporate law, such as corporate struxture, regulatory requirements, intellectual property rights, and employment matters. Analyze legal precedents, statutes, and regulations to provide the firm with accurate and comprehensive legal advice.
• Risk Assessment and Mitigation: Identify and assess legal risks associated with business and investment activities and propose strategies to mitigate and manage those risks. Work closely with internal stakeholders, such as the BOD, management team, finance department, and compliance officers, to develop and implement risk management initiatives.
• Internal Legal Support: Provide legal support and guidance to different departments within the organization. Collaborate with cross-functional teams, such as finance, human resources, and operations, to address legal issues and ensure legal compliance in various business operations.
• Relationship Management: Interacting with external legal counsel, government agencies, regulatory bodies, and other external stakeholders as necessary. Manage relationships with external legal providers and coordinate their activities when required.

• Minimum 2 years post qualification experience either as an legal counsel or a solicitor
• Local and international exposure and capacity to manage legal concerns cross-culturally and internationally advantegous
• In-House work experience is a plus
