Job description:
Role:
Working within Asia ex-Japan Legal providing legal support to the Investment Banking Division (“IB”) of Nomura Asia, with a particular focus on transactions in South East Asia and India. In performing such role, the candidate will work as part of a team of lawyers supporting the IB team and also work closely with (i) other members of the Asia Legal team, including product specialist lawyers and subject matter specialist lawyers, (ii) Compliance team members, the New Business Group, internal Risk teams and other corporate functions, and (iii) external legal counsel and other external counterparties.
Responsibilities:
- Provide support to the IB team on legal, regulatory and reputational risk aspects of the business (working in conjunction with other corporate colleagues).
- Analyze relevant issues and seek alternatives to mitigate risk through appropriate legal documentation, transaction structures or otherwise.
- Draft, review, and negotiate a variety of legal documentation (including mandate letters, NDAs and standard transactional documents) for the engagement, origination and closing of transactions.
- Work closely with the IB and other corporate colleagues to ensure that relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval.
- Supervise external legal counsel and control the quality/cost thereof.
- Participate in internal committees and discussions relating to the IB business, including in relation to specific transactions and new products or structures.
Requirements:
- Qualified lawyer in a common law jurisdiction
- Around 5 - 7 years PQE
- Deep transactional experience in investment banking transactions (including M&A transactions and debt and equity capital markets transactions)
- Strong contract review and drafting skills
- Clear communication skills
- Chinese language skills would be an asset
- Ability to work both independently and collaboratively with colleagues
- Prior in-house experience at financial institutions would be preferred
Additional information:
- Candidate should ideally come from:
- Private practice background at an international law firm; or
- In-house role at an international commercial or investment bank, but with relevant private practice experience as above.
- Candidate should be able to work on multi-jurisdictional transactions and, (where applicable) in collaboration with other internal control functions (e.g. Compliance) and external counsel, advise internal stakeholders of the associated legal risks and support the Business on execution of the transaction.
- Candidate should be able to handle tight timelines as transactions and internal processes may be fast-moving.
- Candidate should be aware of, and be able to keep up to date with, legal developments around the Asia ex-Japan region etc.
