About Marketnode

Marketnode, an SGX Group and Temasek joint venture, is Asia-Pacific’s trusted and neutral DLT powered financial markets infrastructure (FMI).


At Marketnode, we operate two flagship platforms, Gateway and Fundnode. Gateway is a one-stop, end-to-end platform enabling market participants to accelerate workflows, lower time to market, and capitalise on the transformative potential of tokenisation. Fundnode is Singapore’s investments fund utility on blockchain, providing the funds ecosystem with a single platform for transaction management, funds processing, and record-keeping.


Our company is looking to re-invent the way traditional financial instruments are originated, traded, booked, and serviced with the use of distributed ledger technologies. This goes across Ethereum, Polygon, blockchains and DEX(s) like Uniswap or Aave and would interact with stablecoins, CBDCs or other forms of tokenized money.


Our vision is to build an end-to-end infrastructure for truly native digital assets and their tokenization.

This job is based in Singapore.


Responsibilities

  • Advise the product teams on all relevant legal and regulatory matters.
  • Proactively identify, analyse, manage and mitigate risks in proposed transactions.
  • Partner closely with internal teams, in particular with product and operations teams in respect of regulatory licensing matters including liaising with regulator(s) where necessary.
  • Structure, draft and negotiate a wide variety of legal agreements such as platform agreements and corporate documentation.
  • Liaise with and manage external counsel as necessary to provide support on relevant issues and documentation.
  • Monitor, assess and advise the business on legal issues that impact product development and commercialisation.
  • Manage and negotiate contractual relationships with service providers and other third parties.
  • Handle internal corporate secretarial requirements and liaise with external company secretary as required.


Requirements

  • Law degree with 8+ years PQE. Singapore/Hong Kong or UK qualified.
  • Generalist finance experience covering capital markets and/or funds is preferred, ideally gained at platform operator, market intermediary or law firm
  • Experience drafting and negotiating general corporate and commercial documents, such as joint venture agreements, NDAs, and service agreements
  • Any experience with fundraising, corporate transaction management or regulatory applications/licencing is a plus
  • Applicants must reside in Singapore to be considered for shortlisting.
