Howden is a specialist commercial insurance broker. Its regional footprint covers Singapore (regional headquarters), Malaysia, Hong Kong, Indonesia, Thailand, and Philippines. It is part of the London-headquartered Howden Broking Group, a leading independent, global broker with offices in over 30 countries worldwide.


This is an exciting new role within the Howden Group legal department. Given the importance that Asia plays in Howden’s strategic aims, we are seeking Junior Legal Counsel in our Group Legal function, to be a holistic legal advisor to the Asian businesses and your role may involve the below duties.


RESPONSIBILTIES:

  • Review, draft, negotiate, advise and amend a full range of documents and legal agreements (service agreements, NDA, SLA, distribution agreements, referral agreements etc.) for business units.
  • Conduct research, prepare summaries.
  • Draft templates, help with procurement tool management, and ensure contracts are executed by authorized signatories (in general devise a good control and governance practice).
  • Document retention and contracts management, proper record keeping of the contractual documents.
  • Liaise and review opinions with external counsels.
  • Advise on corporate commercial matters, HR issues, regulatory matters together with various industry specific matters and contracts.
  • Assist with M&A, post transaction matters and integration.
  • Disputes management.
  • Create with the Regional Legal Counsel and the Asian leadership teams, a proactive legal framework for our Asian businesses.
  • Provide “first review” of third party changes proposed on Howden templates.
  • Support project management of corporate transactions across multiple jurisdictions including executing instructions, assisting in the vetting of responses and completion.
  • Finalize negotiated contracts/other transactional documents and manage execution of legal documentation.
  • Building a sound understanding of Howden’s policies, forms and contract procedures so as to provide support to the team, business stakeholders and assure compliance with Howden’s policies.
  • Assist the team in preparing trainings, quick guides and updates on key legal topics and conduct training for the business stakeholders.
  • Provide professional support in the running of the legal team and provide support for the team.
  • Support ad-hoc projects and initiatives that may be allocated from time to time.
  • Responsible for providing sound and timely legal advice on non-complex matters to business units.
  • Responsible for general administrative work as needed to support the legal team (such as gap analysis, contract management, maintaining local records, formatting and editing documents etc.).


Requirements:

  • Strong academic qualifications with a law degree in a common law jurisdiction.
  • Minimum 2+ years PQE.
  • Previous experience of working in a reputable law firm/in house legal team in any industry (insurance, reinsurance, broking, financial institutions preferred).
  • Commercial acumen and confidence to engage with business leaders.
  • Robust and able to make commercial and independent decisions.
  • Pragmatic, proactive and reliable.
  • Team player and able to work closely with other divisions and external advisers.
  • Self-driven, positive attitude, proactive, adaptable, resourceful and able to achieve goals independently or in a team while working with lawyers, internal and external stakeholders globally.
  • Excellent interpersonal skills, presentation skills both verbal and written.
  • Critical and innovative thinking, problem solving and analytical skill.
