Based in Sydney, Tokyo or Singapore, reporting to the regional Managing Counsel, your role as Senior Legal Counsel will involve acting as lead counsel and negotiator, working closely with various teams across the Asia-Pacific region, providing practical and commercially focused legal advice and support including demonstrating subject matter expertise across the Asia-Pacific region.


Your role will require a high degree of self-sufficiency, and an ability to maintain business focus that balances the needs of the business for profitability with ensuring contractual terms and conditions protect the company and minimize risk. As Senior Counsel, you must have the ability to articulate contractual issues and risks, organizational skills, flexibility, excellent communication skills and an ability to thrive in and enjoy a dynamic, and fast-paced environment.


Responsibilities will include, but are not limited to:


  • Preparing, reviewing and negotiating sell-side complex IT contracts for software licensing (and related services) and partnership agreements in collaboration with various teams across the Asia-Pacific region; assisting in reviewing and responding to customer requests for proposals.
  • Building close cross-functional relationships and working closely with with various teams across the organization to support the business, obtaining and maintaining a solid knowledge of the company’s business, and being able to communicate effectively and develop strong working relationships with senior management and business colleagues.
  • Having strong subject matter expertise on complex legal terms and complex agreement structures (including intellectual property, licensing, indemnity, liability, identifying revenue impacting terms, data protection and other rights and obligations) required to ensure compliance within company policies and guidelines.
  • Balancing competing priorities of constituencies as compared to business needs and using astute judgment as to when to seek executive-level direction.
  • Monitoring and incorporating changes in laws and regulations across the Asia-Pacific region and ability to learn and apply new substantive areas of law to daily practice.
  • Being highly self-directed and proactive - proactively identifying needs or potential legal issues, proposing solutions, and effectively executing on the solution.
  • Assisting the regional Managing Counsel and global legal leadership to formulate plans and strategies by providing input regarding legal implications of the plan, and participating in and/or leading team projects.


Qualifications


  • Admitted to practice as a lawyer in a jurisdiction across Asia-Pacific
  • A minimum of 8+ PQE with experience in negotiating sell-side IT contracts
  • Strong experience in structuring, drafting, negotiating and interpreting complex contracts and advising business clients throughout the full contract lifecycle. Prepares first quality negotiation documents that reflect an advanced knowledge of contract terms and conditions, legal requirements for compliance with applicable laws and regulations, and company’s financial policies and strategies.
  • Excellent language and writing skills in English is required at a level that permits drafting, negotiation and review of complex agreements, and ability to drive projects and earn the confidence and cooperation of business partners. Fluency in an additional relevant language would be a plus (e.g., Japanese).
  • In-house, cross-border and/or international experience required.
  • Experience working with technology companies, software licensing (SaaS) and services required; data protection and security experience desired.
  • Ability to work independently, prioritize and manage expectations.
  • Detail-oriented and organized, with ability to manage a high-volume practice in a dynamic, fast paced, environment and adapt quickly to changing priorities.
  • Talent for thinking outside of the box in confronting new issues and pursuing novel approaches to existing challenges; strategic and pragmatic.
  • Able to provide quick, concise, and practical legal advice consistent with business objectives and processes, and able to influence stakeholders to drive efficiency and results that align with company goals.
  • Interested in learning and growing in a challenging and dynamic environment, with strong interpersonal, and persuasion skills.
  • Team attitude that no job is too big or too small, including mentoring and assisting other team members.
