Position Summary B Capital is currently seeking a Legal Counsel to join our Legal/Compliance team in the Singapore office. The individual will report directly into the head of legal in Asia and have a crucial role in providing legal support for our investment activities, deal negotiations, diligence and execution. They will also advise key stakeholders on legal/regulatory risks and mitigations. Moreover, the role involves participation from a legal angle in our firm’s fundraising initiatives, operational areas such as employment matters, contracts, systems, and regulatory compliance. The role also extends to managing external counsel teams and vendors. Key competencies for this role include strong legal skills and relevant experiences working with investment funds, good drafting skills, business acumen, an entrepreneurial spirit, exceptional interpersonal/communication skills, and a robust work ethic. The candidate should be mature, flexible, willing to learn, and adaptable based on business needs. A proven track record of quickly transforming ideas into action is crucial for this position. Familiarity with multiple jurisdictions across Asia and the US is a plus. Basic Job Responsibilities
You will report and support directly to the Head of Legal/Compliance for the APAC region. Your role will include but not be limited to legal work in support of:
Key areas of the firm’s investment activity, including investment/divestment processes and ongoing portfolio management
Deal negotiation, diligence and execution from legal perspective, and advising key stakeholders of legal/regulatory risks and mitigations
The firm’s important fundraising initiatives, including marketing and investor onboarding from Asia-based (MAS and other applicable ones) regulatory angle
Operational areas of the business, including employment matters, contracts, systems and regulatory compliance, including MAS and other applicable Asian jurisdictions
You will manage external counsel teams and other important vendors
You will have the opportunity be trained and developed by the Head of Legal/Compliance for the APAC region, based in Singapore. You will also work with a global team, and develop relations beyond the Singapore-based office.
Basic Job Requirements
Qualified lawyer with 5 to 10 years of PQE and graduated with Degree in Law (JD/LLM or LLB)
Trained in a top-tier reputable law firm
Lawyers coming directly from a law firm should have prior M&A (PE/VC) deal experience
Lawyers with a mixture of law firm and in-house experience will also be considered
Understanding of the businesses of an investment fund or any experience therewith is a plus.
